Terms of use. The site, not the service.

01Acceptance

By accessing or using fundbasecamp.com (the "Site"), you accept these terms. If you do not accept them, do not use the Site. The terms are between you and Fund Base Camp LLC, a United States limited liability company ("FBC", "we"). If you are accessing the Site on behalf of an organisation, you represent that you have authority to bind that organisation, and "you" refers to both you and that organisation.

02Site use

You may use the Site to learn about FBC's custody service, query the public verification endpoint, and contact us. Additional details regarding platform connectivity and supported sponsor workflows are available on our integrations page. You may not:

• Use the Site to harm, harass, or impersonate any person or entity;
• Attempt to gain unauthorized access to non-public portions of the Site, to other users' accounts, or to FBC infrastructure;
• Scrape or programmatically access the Site at rates exceeding the published rate limits without prior written consent;
• Reverse engineer, decompile, or otherwise attempt to derive source code or non-public algorithms from the Site (other than where applicable law renders this prohibition unenforceable);
• Use the Site to transmit malware, viruses, worms, or any code intended to disrupt, damage, or limit the functioning of any computer software or hardware;
• Use the Site in violation of any applicable law, regulation, or third-party right.

03Use of /verify

The public verification endpoint at /verify is provided as a utility to anyone holding a Fund Base Camp transaction code, including investors, sponsors, counsel, allocators, and auditors. The endpoint is rate-limited per IP and per code. Querying it does not create an account, does not require authentication, and does not establish a contractual relationship between the querying party and FBC beyond these terms. Additional information regarding the verification process and custody validation workflow is available on the public verification portal.

The response returned by /verify is the custody record as known to FBC at the time of the query. It includes the SPV, the documents under custody, their SHA-256 hashes, the OpenTimestamps anchor reference, and the date of the most recent independent attestation. It does not include personally-identifying information about any investor or third party.

Receipt of a successful verification response does not constitute, and shall not be interpreted as, financial advice, a recommendation, a solicitation, or an offer to sell or buy any security. It is a statement about document custody only.

04Intellectual property

The Site, including all text, design, code, logos, and other content (other than user submissions and third-party materials properly attributed), is owned by FBC and is protected by United States and international copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site for its intended purpose. You may not copy, modify, distribute, sell, lease, or create derivative works of the Site or any portion of it, except that you may reproduce the verification response or the receipt PDF for your own records and provide either to your counsel, auditor, regulator, or counterparty in connection with the SPV to which the response relates.

08Limitation of liability

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, the above limitations apply to the maximum extent permitted by law.

This § 8 does not limit FBC's liability to sponsors under the Custody Services Agreement, which is governed by the indemnification and limitation-of-liability provisions of that agreement.

09Indemnification

You agree to indemnify and hold harmless FBC and its affiliates from and against any claim, loss, damage, liability, or expense (including reasonable attorneys' fees) arising from (a) your use of the Site in breach of these terms, (b) your violation of any law or third-party right in connection with your use of the Site, or (c) your republication or misrepresentation of any verification response or receipt PDF.

10Governing law

These terms are governed by the laws of the State of Wyoming, without regard to conflict-of-laws principles. The state and federal courts located in the State of Wyoming have exclusive jurisdiction over any dispute arising from or related to these terms or your use of the Site, except where applicable consumer-protection law gives you the right to litigate in your home jurisdiction.

11Disputes

Before initiating any formal proceeding, you agree to give FBC written notice of the dispute at legal@fundbasecamp.com and to make a good-faith effort to resolve it informally for at least 30 days. This § 11 does not apply to claims for injunctive relief related to intellectual property or to claims that may be brought in small-claims court.

12Changes to these terms

We may update these terms from time to time. The current effective date is shown at the top of this page. Material changes will be highlighted in a banner on the Site for at least 30 days following the update. Your continued use of the Site after a material change indicates your acceptance of the updated terms.
